MinuteFile Terms and Licence Schedule

This schedule supplements the general MotionObj Terms of Service and applies to MinuteFile. If this schedule conflicts with the general terms, this schedule controls for MinuteFile. Mandatory rights under applicable law always continue to apply.
Trial and purchase
MinuteFile includes a trial covering transcription of three recordings. Transcripts created during the trial remain available to read, edit, search, share, and export after the trial ends. A licence is required for further transcription or retranscription.
The MinuteFile product page and Stripe checkout show the current price at purchase. The perpetual MinuteFile app licence requires one payment and has no recurring subscription. Stripe processes the payment and provides MotionObj with the purchase details needed to issue and support the licence, including the checkout email address. Stripe’s terms and privacy policy apply to checkout.
Applicable taxes or fees may be calculated or shown at checkout. If there is a purchase, licence-delivery, or billing problem, contact hboon@motionobj.com. Refunds are considered under the checkout terms, the circumstances of the purchase, and applicable law. Nothing in this schedule limits a mandatory refund or other consumer remedy. Contact MotionObj before starting a chargeback when practical so there is a chance to correct the problem; this does not limit your right to contact your payment provider.
Perpetual licence
After payment and delivery of a valid licence key, MotionObj grants the purchaser a personal, non-exclusive, non-transferable, perpetual licence to install and use MinuteFile on Macs the purchaser owns or controls. A business purchaser may use MinuteFile for its own internal business work. The licence is not limited to a fixed number of devices.
You may not share, publish, distribute copies of, sell, sublicense, or transfer the app or licence key to another person or organisation; bypass or interfere with the trial or licence checks; use MinuteFile unlawfully; or use it to infringe another person’s rights. You may keep reasonable backup copies of the app and licence key for your own use.
A perpetual licence does not expire merely because time passes and does not require a recurring subscription. It does not promise that every future major version, model, update, operating system, or third-party service will remain available or compatible.
Licence delivery and support
MotionObj currently issues licence keys manually after confirming a Stripe purchase and emails the key to the checkout address. The key is generated deterministically from the purchase record and signed offline with Ed25519. MinuteFile verifies the signature locally and stores the activated key in your macOS Keychain. Activation does not require a MotionObj account or licence server.
Keep the licence email and key. When asking for purchase or licence support, provide the email address used at checkout and, if available, the Stripe purchase reference. Do not send payment-card details. A licence key is not device-limited and MotionObj does not remotely revoke it.
Local processing and network access
MinuteFile has no account, MotionObj backend, live meeting capture, or cloud transcription service. The app reads recording folders you select. Transcription, transcript search, the recording index, preferences, trial state, and transcript storage are handled locally on your Mac. MinuteFile still needs network access for some operations:
- Downloading transcription and speaker models from their model hosts.
- Checking
motionobj.comfor updates and downloading signed updates through Sparkle. - Opening Stripe checkout in your browser when you choose to buy a licence.
Once the required models are installed, transcription and transcript search do not call a cloud transcription or language-model API. Model hosts, Stripe, and other third-party services process their own network requests under their terms and privacy policies.
Components, updates, and compatibility
MinuteFile includes or works with third-party components, runtimes, and models, including Sparkle, Whisper-related software and models, and speaker-processing components. Their licences and notices continue to apply to those components.
MinuteFile currently uses Sparkle to check the MotionObj appcast and install signed updates. Update checks and downloads require internet access. MotionObj may change the update method, available models, components, features, and compatibility requirements when needed for security, maintenance, product development, or third-party changes.
Check the current product page before purchase for supported macOS versions and hardware. You are responsible for installing compatible updates and keeping backups of recordings, transcripts, exports, and your licence key. Removing MinuteFile does not remove source recordings or exported copies.
Recordings and lawful use
You are responsible for the recordings and other content you process. Use only content that you have the rights and permissions to access, transcribe, edit, export, and share. You must also obtain any notice or consent required from meeting participants and comply with recording, privacy, employment, confidentiality, intellectual-property, and other applicable laws.
Do not use MinuteFile to intercept communications, record people, or process or disclose content unlawfully.
Availability, warranties, and liability
The availability, warranty, and liability provisions in the general MotionObj terms apply. MinuteFile is transcription software, and transcripts or speaker labels may contain errors. Review output before relying on it, publishing it, making decisions from it, or using it as an official record.
To the extent permitted by law, MotionObj is not responsible for claims caused by content you had no right to record, transcribe, or share. The general terms’ indemnity applies to such claims, but not to claims caused by MotionObj’s own breach, negligence, or unlawful conduct.
Termination
The licence ends if you materially breach this schedule and do not fix the breach after notice where a cure is practical. When the licence ends, you must stop using MinuteFile and delete copies of the app and licence key. Your recordings, saved transcripts, and exported files remain yours.
Licence termination is a legal consequence. MinuteFile’s offline licence key does not include a remote revocation or device-limit mechanism, so ending the licence does not imply that MotionObj can technically disable an installed key.
